Terms of Service

These Terms are provided for transparency and should be reviewed by legal counsel for your jurisdiction.


These Terms of Service (the "Terms") govern access to and use of Social Manager (the "Service"). The Service is operated by Social Channels Manager ("we", "us", or "our"). By accessing or using the Service, you agree to these Terms.

1. Who Can Use The Service

You must be legally able to enter into a binding contract in your location. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.


2. Accounts, Workspaces, and Roles

You are responsible for activity under your account, including actions taken by workspace members you invite. The Service may include role based permissions (for example: owner, editor, viewer). You must ensure each user only receives access appropriate for their responsibilities.


3. The Service

The Service helps you plan, schedule, and publish content to connected third party platforms (for example: Telegram, TikTok, YouTube, Meta/Facebook). Features may change over time.


4. Acceptable Use

You agree not to misuse the Service. Misuse includes: attempting unauthorized access, interfering with operation, distributing malware, using the Service to publish unlawful or infringing content, or violating the terms and policies of any platform you connect.


5. Your Content and Publishing Authorization

You retain your rights in content you upload, schedule, or publish using the Service ("User Content"). You grant us a limited license to host, process, and transmit User Content solely to operate the Service and perform publishing you request.

You are responsible for User Content, including accuracy, legality, and having all rights needed to publish it.


6. Third Party Platforms and Integrations

If you connect third party accounts, you authorize the Service to act on your behalf within the permissions you grant (for example, publishing a post). Third party platforms control their own APIs and may change, suspend, rate limit, reject, or remove content at any time. We are not responsible for third party outages or enforcement actions.


7. Fees, Trials, and Taxes (If Applicable)

If we offer paid plans, pricing and billing terms will be presented before you purchase. Taxes may apply. Except as required by law, payments are non refundable.


8. Security

You must use reasonable measures to keep account credentials secure. Notify us promptly if you suspect unauthorized access.


9. Suspension and Termination

You may stop using the Service at any time. We may suspend or terminate access if we reasonably believe there is a security risk, misuse, or a violation of these Terms, or if required to comply with law.


10. Disclaimers

The Service is provided "as is" and "as available" to the maximum extent permitted by law. We do not make warranties of merchantability, fitness for a particular purpose, or non infringement.


11. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenues, data, or goodwill, arising from or related to the Service.

Our total liability for any claim arising out of or related to the Service will not exceed the amount you paid us for the Service in the 12 months before the event giving rise to the claim, or USD $100 if you have not paid anything, unless a different cap is required by law in your location.


12. Indemnification

You will defend and indemnify us from claims arising out of your use of the Service, your User Content, or your violation of these Terms or third party rights, except to the extent a claim is caused by our gross negligence or willful misconduct.


13. Privacy

Our Privacy Policy explains how we collect and use information. By using the Service, you agree that we can collect and use information as described in the Privacy Policy.


14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice within the Service or by other reasonable means. Continued use of the Service after changes become effective means you accept the updated Terms.


15. Governing Law

These Terms are governed by laws of Ukraine, with courts located in Kyiv, Ukraine.
